Keynote Speech by Anti-Poverty Activist Jean Swanson (following the Co-op Radio AGM)
The AGM will be followed by a keynote speech by Jean Swanson.. Jean Swanson, is an anti-poverty activist living and working in Vancouver. Jean is a coordinator of the Carnegie Community Action Project and a founder of the group End Legislated Poverty.

The following Special Resolutions will be considered at this meeting:

A Special Resolution is a resolution that changes our governing Rules.  Proposed additions to sections of the Rules are in bold and deletions are crossed-out.

Resolution #1: Notice of General Meetings

The following proposed amendments are to ensure that the Rules are clearer with regards to member notification requirements and the Cooperative Association Act.

25.          At least seven (7) days notice (or fourteen (14) days’ notice if any special resolutions are proposed) must be given to each member before of every general meetingas specified by the Cooperative Association Act.  Notice will state specifying the place, the day, and the hour of the meeting, and in the case of special business, the general nature of that business.

 

Resolution #2: Quorum for General Meetings

The following proposed amendments are to ensure that the Rules are clearer with regards to quorum requirements.

26.          No business shall be transacted at a any general meeting or special meeting of the Association unless a quorum of ten per cent (10%) of the members or forty (40) members, whichever is the lesser, are present in person at the time when the meeting proceeds to business and unless at all times not less than fifty per cent (50%) of persons at beginning of the meeting are personally present. (For exceptions, see Rule 29.)

 

Resolution #3: Quorum for Adjourned General Meetings

The following proposed amendments are to ensure that the Rules are clearer with regards to quorum requirements.

29.          If, within 30 minutes after from the time appointed for a general meeting, a quorum is not present, the meeting (if called by a requisition of the members or by the directors) shall be dissolved and it shall stand adjourned until a new meeting can be scheduled preferably to the same day in the next week at the same time and preferably at the same place.  The Association shall give notice of the adjourned meeting to all members of the Association as required by the Cooperative Association Act as soon as a new meeting time and place has been confirmed.

If at an adjourned meeting a quorum is not present within 30 minutes after from the time appointed for an adjourned meeting, the members present shall:

a)       conduct the meeting as if there were quorum; or,

b)      dissolve the meeting, which will stand adjourned until notice is again with no fewer than seven (7) days’ notice given to all the members of the Association of about the time and place for a of the new meeting as specified by the Cooperative Association Act.

Rules 146 and 147 from the Cooperative Association Act are relevant:

 

Notice of meeting to be given

146         (1) At least 14 days' notice of every annual general meeting of an association and of every general meeting of an association at which a special resolution is to be proposed must be given to each member.

(2) In the case of a general meeting other than one referred to in subsection (1), at least 7 days' notice, or any longer notice that the association may provide in its rules must be given to each member.

(3) At least 14 days' notice of every meeting of an association's investment shareholders or of an association's investment shareholders in any class of investment shareholders must be given to each investment shareholder or to each of them in that class, as the case may be.

(4) The notices under this section must specify

(a) the place, the day and the hour of the meeting, and

(b) in the case of special business, the general nature of that business.

 

Manner of giving notice

147         (1) An association may give a notice required under section 146 by post, service or delivery or another manner set out in the association's rules.

(2) A notice required under section 146 that is given by post

(a) is deemed to be effected by properly addressing, prepaying and mailing the notice, and

(b) unless the association's rules provide for a longer period, is deemed to have been effected on the second day, Saturdays, Sundays and holidays excepted, after the date of mailing.

 

Resolution #4: Financial Statements

a)       WHEREAS due to operational considerations involving changes in structure and personnel leading up the Annual General Meeting, no financial statements are available for review,

b)      BE IT RESOLVED that a) the Cooperative forego the presentation of financial statements at this Annual General Meeting, and that b) a Special General Meeting be held in February, 2018 at a time and place established by the Directors, at which time financial statements for the year ended 2016/2017 will be presented.
